Your voice is valuable, and so is your time. Here are some easy ways to spread the word about Dental EMR:

This section is marketing guidance for Referrers only. It does not define or expand Program eligibility - eligibility is governed exclusively by the “Referred Customer” definition in Section 3 below.

Because Dental EMR is built specifically for endodontic practices, the best referral candidates are licensed Endodontists who are:

Dental EMR, Inc., a Nevada corporation (“we,” “Dental EMR,” or “Company”), offers customers the opportunity to refer colleagues through this referral program (the “Program”). Capitalized terms used but not defined in these Terms have the meanings given in the Company’s Terms of Service.

“Referrer” means the individual who submits a referral through the Company’s referral form at www.dentalemr.com/referrals. A Referrer’s eligibility for a Referrer Reward depends on their Dental EMR customer status at the time of submission, as described in Section 8 (Referrer Status at Time of Referral).

“Referred Customer” means a licensed endodontist referred by a Referrer who is not, at the time of referral, an active, paying user of the Dental EMR SaaS.

“Reward” means the account credit described in Section 10 (Rewards) below, issued upon a Valid Referral as further described in Section 8 and Section 10. The terms “Reward” and “account credit” are used interchangeably and refer to the same benefit throughout these Terms.

4. Binding Agreement

By participating in the Program, you agree to be bound by these Terms and by the Company’s Terms of Service. All Company decisions regarding the Program are final and binding.

5. Privacy

Personal information collected, processed, and used in connection with the Program is handled in accordance with the Company’s Privacy Policy, available at https://www.dentalemr.com/privacy.

6. Eligibility

This Program is void where prohibited. To participate as a Referrer, you must: (a) be at least 18 years of age; (b) be fluent in spoken and written English; and (c) otherwise be legally permitted to participate. Referrers who are existing, active Dental EMR customers must also be in good standing on their account. Referrers who are not yet Dental EMR customers at the time of referral are subject to Section 8 (Referrer Status at Time of Referral) below.

A referral must be submitted through the Company’s referral form prior to the Referred Customer’s purchase, as described in Section 7 (How the Program Works). Referrals are honored on a first-come, first-served basis to whichever Referrer first submits a referral naming a given Referred Customer. There is no limit on the number of referrals a Referrer may make or the number of Rewards a Referrer may earn. Overlapping Rewards will be applied to subsequent, non-free billing cycles. Rewards under this Program cannot be combined with other Dental EMR marketing promotions.

7. How the Program Works

Referrals are submitted through the Company’s referral form at https://www.dentalemr.com/referrals.

Dental EMR bills on a monthly cycle beginning on the first day of each month. Once a Referred Customer completes three (3) full, paid billing cycles as a full-time customer - i.e., 90 days of active, paid usage - the referral is confirmed with the billing department, and the Referred Customer’s Reward is issued as an account credit on the invoice for the Referred Customer’s 4th billing cycle. The Referrer’s Reward is issued on the same timeline if the Referrer is an active, paying Dental EMR customer at that time; if not, see Section 8 (Referrer Status at Time of Referral).

8. Referrer Status at Time of Referral

A Referrer does not need to be an active Dental EMR customer at the time a referral is submitted. A Referrer’s eligibility for a Referrer Reward depends on their customer status, as follows:

9. Restrictions

Referrers may not refer themselves or create multiple, fictitious, or fake accounts. No participant may use the Program to violate any law; infringe the rights of any third party; or act in a manner that is harassing, harmful, illegal, hateful, obscene, or outside the spirit of the Program. Participants may not (a) tamper with the Program, (b) act in an unfair or disruptive manner, or (c) use any automated or artificial means to gain an unfair advantage in the Program.

ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY VIOLATE CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, THE COMPANY RESERVES THE RIGHT TO SEEK ALL AVAILABLE REMEDIES AND DAMAGES, INCLUDING ATTORNEYS’ FEES, TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

10. Rewards

This offer has no cash value. To qualify as a “Valid Referral,” the Referred Customer must not be an existing owner/provider already enrolled in Dental EMR, and must become a first-time user of the Dental EMR SaaS as a direct result of the Referrer’s referral.

Upon a Valid Referral, the Referred Customer earns a Reward, and the Referrer earns a Reward subject to Section 8 (Referrer Status at Time of Referral), each calculated independently based on that party’s own number of full-time providers at the time the Reward is issued, as follows:

Example: If a single-provider practice refers a three-provider practice, the Referrer (1 provider) receives a $659 Reward and the Referred Customer (3 providers, capped at the 2-provider rate) receives a $1,018 Reward - each calculated independently using its own provider count.

Rewards apply only to the Dental EMR SaaS subscription fee and exclude eClaims charges. Each Reward is reflected on the invoice for the Referred Customer’s 4th billing cycle, consistent with Section 7 (How the Program Works). Rewards have no monetary value, are not redeemable for cash, and are not transferable, auctionable, or able to be traded, bartered, or sold, except as the Company may otherwise permit in its sole discretion. The Company may delay a Reward to investigate, and may decline to process any transaction for any reason.

Referrers and Referred Customers are solely responsible for any tax liability arising from a Reward. The Company does not provide tax advice and makes no representation regarding the tax treatment of any Reward. See the Terms of Service for additional billing and payment terms.

11. Liability

Except where prohibited by law, by participating in the Program you agree to: (a) be bound by these Terms and the Company’s Privacy Policy; (b) release and hold harmless Dental EMR, Inc., its affiliates, and their respective employees, directors, officers, and agents (the “Released Parties”) from claims, damages, losses, or liabilities arising from or related to participation in the Program or the award, receipt, use, or misuse of a Reward; and (c) be contacted by Dental EMR via email regarding the Program.

Except where prohibited by law, the Released Parties are not liable for: (i) late, lost, delayed, incomplete, inaccurate, or unintelligible communications, regardless of transmission method; (ii) hardware, software, or network malfunctions, outages, or transmission errors; (iii) unauthorized access to, alteration of, or loss of Program-related data; (iv) injuries or damages of any kind resulting from acceptance, possession, or use of a Reward; or (v) typographical or technical errors in materials associated with the Program. The Company reserves the right to cancel, modify, or suspend the Program if a virus, bug, unauthorized intervention, or similar event compromises its administration or security.

Except where prohibited by law, the Released Parties are not liable for any failure to provide a Reward due to causes beyond the Company’s reasonable control, including acts of God, government action, equipment or network failure, labor disputes, natural disaster, epidemic, or other similar events.

To the extent permitted by law, participants waive any right to punitive, incidental, or consequential damages, and waive any right to have damages multiplied or increased. This waiver may not apply in all jurisdictions, and additional rights may be available to you under local law.

The Company may cancel, modify, or suspend the Program at any time it determines, in its sole discretion, that the Program’s administration, security, or fairness has been compromised.

12. Applicable Law

Except where prohibited, disputes arising out of or related to this Program will be governed by the laws of the United States and the State of Nevada (without regard to conflict-of-laws principles), and participants consent to the exclusive jurisdiction of the state and federal courts located in Las Vegas, Nevada (Clark County).

13. Disclaimer of Warranties

THE PROGRAM AND THE DENTAL EMR SAAS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DENTAL EMR MAKES NO REPRESENTATION REGARDING THE ACCURACY OR COMPLETENESS OF CONTENT PROVIDED THROUGH THE DENTAL EMR PLATFORM AND DISCLAIMS LIABILITY FOR (I) ERRORS OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM USE OF THE PLATFORM, (III) UNAUTHORIZED ACCESS TO PERSONAL OR FINANCIAL INFORMATION STORED ON THE PLATFORM, AND (IV) EVENTS BEYOND THE COMPANY’S REASONABLE CONTROL.

14. Bulk Distribution (“Spam”)

Referrals must be made personally, in a manner customary for communications with friends and colleagues. By submitting any email address under this Program, the Referrer represents that they have obtained appropriate permission and consent to do so. Bulk email distribution, distribution to strangers, or any other use of the Program inconsistent with its intended purpose is prohibited and may result in removal from the Program and further legal action. The Company is not obligated to monitor Program communications but may do so, and may remove content or restrict use of the Program at its discretion. Referrers who violate applicable anti-spam laws agree to indemnify the Company for any resulting liabilities, costs, and expenses.

15. Right to Cancel, Modify, or Terminate

The Company reserves the right to cancel, modify, or terminate the Program at any time, for any reason. The Company may disqualify any participant it believes, in good faith, has violated these Terms. It is your responsibility to monitor this page for updates; the version posted on the Company’s website governs.
